These Terms of Use ("Terms") govern your access to and use of smarthealthnetwork.org and related websites (the "Site"), including any waiting-list, sandbox, or early-access features offered through the Site. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms govern use of the Site only. Participation in the Smart Health Network is governed by the Network Participation Agreement and related instruments — not by these Terms.

1. Eligibility and authority

You must be at least 18 years old to use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to act for that organization, and "you" includes that organization.

2. Acceptable use

You agree not to:

  • use the Site for any unlawful purpose or in violation of these Terms;
  • attempt to gain unauthorized access to the Site, other users' data, or any related systems or networks;
  • interfere with or disrupt the Site, or circumvent any security or access controls;
  • scrape, harvest, or collect data from the Site by automated means except as expressly permitted;
  • introduce malware or otherwise harm the Site or its users; or
  • misrepresent your identity or affiliation.

3. Sandbox and early-access features

If we provide you access to a sandbox or other early-access feature:

  • it is provided for evaluation and development only, on an "as is" basis, and may be changed, suspended, or withdrawn at any time;
  • you must use only synthetic or test data — do not submit real patient data, protected health information, or other regulated personal information into the sandbox;
  • access is personal to you (or your organization), non-transferable, and revocable; and
  • no service levels, uptime, or availability commitments apply.

4. Intellectual property

The Site and its content — including text, graphics, logos, and software — are owned by Smart Health Network PBC or its licensors and are protected by law. "Smart Health Network" and related names and logos are our marks. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for its intended purposes. You may not copy, modify, distribute, or create derivative works from the Site except as expressly permitted.

5. Your submissions

If you submit information or materials through the Site, you represent that you have the right to do so and that they are accurate and not unlawful. You grant us a license to use submissions as needed to operate the Site and respond to you. Handling of personal information is described in our Privacy Policy.

6. Third-party links

The Site may link to third-party websites or resources. We do not control and are not responsible for them, and a link does not imply endorsement.

7. Disclaimers

THE SITE AND ANY SANDBOX OR EARLY-ACCESS FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. INFORMATION ON THE SITE IS FOR GENERAL INFORMATIONAL PURPOSES AND IS NOT LEGAL, MEDICAL, OR PROFESSIONAL ADVICE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART HEALTH NETWORK PBC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify and hold harmless Smart Health Network PBC and its affiliates from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Site or violation of these Terms.

10. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising from or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction — except that either party may seek injunctive relief in any court of competent jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date above. Your continued use of the Site after an update means you accept the updated Terms.

12. Miscellaneous

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and us regarding the Site.
